Best Medical to buy Nomos Radiation from North American Scientific
Radiation therapy device provider North American Scientific (NAS) of Chatsworth, Calif., has entered into a definitive agreement to sell its Nomos Radiation Oncology business for approximately $3.6 million to Best Medical, a medical device developer.
Nomos Radiation Oncology of Cranberry Township, Pa., provides external beam radiation therapy products for serial tomotherapy intensity modulated radiation therapy and image-guided radiation therapy.
Under the agreement’s terms, the Springfield, Va.-based Best Medical will purchase Nomos Corporation assets, including stock of Nomos subsidiaries, Nomos GmbH and Nomos China USA.
The purchase price is $500,000 cash at closing, plus assumption of certain obligations and liabilities, including approximately $3.1 million of liabilities for warranty and maintenance agreements, as well as the Nomos facility lease in Cranberry Township.
The deal is subject to customary conditions and expected to close by September 17.
