TechniScan, Esaote ink development and marketing agreement
The Esaote Group, a medical imaging and diagnostic technologies company, and TechniScan Medical Systems (TMS), a developer of ultrasound technology for breast imaging, have signed a partnership agreement to share technologies and intellectual property to collaborate in the development of TechniScan’s UltraSound CT and to cooperate in marketing.
Under the terms of the agreement, the Genova, Italy-based Esaote will also participate as a financial partner with up to a 20 percent ($9 million) equity stake in TMS, according to the companies.
In addition to the cooperative development agreements, the Salt Lake City-based TMS and Esaote will execute an original equipment manufacturing agreement, allowing TMS to incorporate Esaote’s products and technologies with TMS’ products. The TMS technology will be used in future Esaote ultrasound systems. The companies will also execute an exclusive distribution agreement for the European market and a commercial cooperation for the U.S. market.
